The Standing Committee on Company Law Reform (SCCLR) today (October 30) published its 2025-26 annual report.
During the reporting period, the Government consulted the SCCLR on the legislative proposal to remove the exemption permitting mixed media offers. In addition, the Government briefed the SCCLR on the uncertificated securities market regime, and the company re-domiciliation regime so as to facilitate members’ understanding of relevant details and latest developments.
“Over the years, the SCCLR has been our important partner in working side by side to modernise company law to keep abreast of the times. We sincerely appreciate the invaluable advice provided by the SCCLR during the reporting period, and look forward to continuing to work with the SCCLR to further consolidate Hong Kong’s status as an international commercial and financial centre,” a Government spokesperson said.
The SCCLR was set up in 1984. It advises the Financial Secretary on amendments to the Companies Ordinance and the Companies (Winding Up and Miscellaneous Provisions) Ordinance, as well as amendments to the Securities and Futures Ordinance on matters relating to corporate governance and shareholders’ protection, as and when necessary.
The Chairman of the SCCLR is Mr Johnny Mok, SC. Members include practitioners from relevant professions including the legal, accountancy, and company secretarial fields; academics; individuals from the business community; and representatives from relevant government departments and financial regulators.

The Government announced today (October 30) that the Financial Secretary, under the authority delegated by the Chief Executive, has appointed two new members, and reappointed the Chairman and 10 incumbent members to the Process Review Panel (PRP) for the Securities and Futures Commission (SFC) for a term of two years starting from November 1, 2026, to October 31, 2028.
The new members are Mr Simon Fok Chung-yin and Ms Angie Li Yick-yee. Ms Miranda Kwok Pui-fong has been reappointed as the Chairman of the PRP, while Professor Chan Ka-lok, Dr Chordio Chan Siu-ping, Ms Lorna Chen Xin, Mr Kenneth Chen Yung-ngai, Dr Bankee Kwan Pak-hoo, Mr David Lau Pak-wai, Ms Jasmine Lee Shun-yi, Ms Lian Shaodong, Mr Charles Lin Xiaodong and Ms Karen So Kwok-yan have been reappointed as members of the PRP.
A spokesman for the Financial Services and the Treasury Bureau said, “We are grateful for the time and effort that the Chairman and members of the PRP have devoted to conducting reviews. The valuable advice and suggestions provided to the SFC have helped enhance its internal procedures and operational guidelines. We are confident that under Ms Kwok’s leadership, the PRP will continue to operate effectively and assist the SFC to exercise its regulatory power in a fair and consistent manner.”
The spokesman also expressed gratitude to the outgoing members, Ms Kerry Ching Kim-wai and Dr Levin Wang Lei, for their dedication and contribution.
The PRP is an independent non-statutory panel established in November 2000 to review the operational procedures of the SFC and determine whether the SFC has followed its procedures in carrying out its work. This helps ensure that the SFC exercises its regulatory power in a fair and consistent manner.
